25% of Directors must be 'Resident Canadian' to register a Federal Corporation

In order to register a Federal Corporation 25% of the directors of your company must be 'resident Canadian'. Provincial incorporations in Ontario, BC and Alberta do not have this requirement. This means that if a Federal corporation only has one director, then that director must be a 'resident Canadian'.

What does 'Resident Canadian mean?

'Resident Canadian' means an individual who is:

  • a Canadian citizen ordinarily resident in Canada, or

  • a permanent resident who is ordinarily resident in Canada.
