How to Onboard your Existing Corporation to Ownr

Even if you’ve already incorporated your company, you can still take advantage of Ownr features by onboarding your company. This includes:

  • Annual Return Compliance Package

  • Digital Minute Book

  • Corporate changes

  • Secure cloud storage accessible any time

What Type of Companies can be Onboarded to Ownr?

Ownr currently accepts incorporated companies that are registered in the following jurisdictions:

  • Federally registered in Canada and extra-provincially registered in Ontario

  • Provincially registered in Ontario

  • Provincially registered in Alberta

  • Provincially registered in BC

Note: Ontario provincial corporations must be onboarded during regular business hours.

To onboard your business to Ownr, follow the steps outlined below:

How Do I Start Onboarding?

Visit ownr.co/new, and choose Existing, and then choose the Province that your business is registered in.

Enter your company name in the Company Search field and select your company from the results;

You can then review and confirm your company details before you proceed.

The next step is to confirm your Account Information. This is your personal information for your Ownr account, not your Company Details—you will be able to confirm that in later steps.

After you confirm your Account Information, you will proceed to the Health Check Step.

Our Legal Health Check helps determine the legal status of your company and any outstanding organizational documents your business may require.

Once that has been completed, you can proceed to Choose a Plan for your Ownr account.

(Note: f your business is missing legally required corporate documents from when you originally incorporated, Ownr will create the outstanding minute book documents for a one-time fee of $99. These documents ensure your corporation is legally compliant and its ownership is clearly defined.

Choose from 2 Onboarding Plans:

The Online Minute Book Plan is $199/year and includes the following benefits.

  • Annual Return Compliance Package: Annual Return filing, Shareholder & Director Resolutions, Waiver of Auditor Forms (All Legally Required)

  • Digital Minute Book: Providing you a home for your company documents (rather than printing and having it physically managed)

  • Secure cloud storage accessible any time: Add, tag and store all legal documents that relate to your company

For Annual Returns, law firms would typically charge ~$450 for these items alone.

The Managed Corporation Plan is $599/year and includes the following benefits.

  • All of the benefits of the Online Minute Book Plan

  • Unlimited changes to Directors, Officers, and Address throughout the year

  • Unlimited user accounts

  • Unlimited access to Ownr's legal agreement library (some documents require subscription add-ons)

  • HST, payroll numbers

After you have selected your plan and submitted your billing details, you can then continue with the Onboarding process.

The next step is to confirm the Company Details. You can begin by uploading your Articles of Incorporation. Then confirm key pieces of information regarding your business, such as the industry you operate in, important dates such as your date of incorporation, and your Fiscal Year-End to ensure that the details are accurate.

If you are a Federal Incorporation, you will be prompted to upload your Ontario Extra Provincial Registration document in the next step.

Once those details are confirmed, the next step is to confirm your Organization Structure.

Here is where you can confirm your company’s Directors and Officers, provide email addresses and appointment dates, as well as any associated legal documents.

Ownr automatically populates your company account with the Director

information that is on file with the Government Registry.

If your Directors have changed but those changes have not yet been filed with the government, you will first need to input the information as it is registered with Corporations Canada. Then, after you have fully onboarded your company, you will be able to make changes to your board of directors through your Ownr account.

If you anticipate making changes to your Directors, you may consider the Managed Corporation Plan, which includes legal resolutions and automatic filings with the government for Director changes.

Finally, you will need to confirm your Shares & Share Classes. By clicking Add Shareholder, you have the option to add a person or a company as a shareholder, as well as determine the percentage of ownership for each shareholder.

You will be able to select the share class as per your Articles of Incorporation when you originally incorporated. Keep in mind, you cannot issue shares from a share class that is not present in your articles of incorporation.

If you require new or alternative share classes for your company but don’t fully understand the implications, it may be best to consult an expert, like a lawyer or an accountant, before you proceed with any changes. The Ownr Support Team is also happy to guide you through the process of adding share classes in Ownr, once you’ve determined the classes you’d like to include.

If your share structure requires a bit more detail, you have the option to use our Advanced Mode.

This allows you to ensure that all share classes in your articles of incorporation are present in your Ownr dashboard. In this mode you can also adjust the price per share and choose the number of shares to issue.

Note, you must have at least one voting shareholder and your share percentages must total 100%.

Once you've completed all these steps, you'll be ready to finalize and submit your company for onboarding.

You will receive an email with next steps once everything is complete. The email will instruct you to sign your onboarding resolution and any missing organizational documents. You can also sign these documents from within your Ownr Dashboard.

Once those documents have been signed, your business is officially onboarded! Now you can continue to focus on growing your business.
