Ownr Subscription Policy

Everything you need to know about Ownr subscriptions, cancellations, and refunds

Updated over 2 weeks ago

Is Ownr a subscription service?

Yes. To help entrepreneurs manage and grow their business, Ownr operates as a subscription-based software platform for corporations that provides ongoing support. Depending on your subscription tier, these ongoing services include:

  • Annual Return filing & resolutions

  • Minute book maintenance

  • Equity management

  • Changes to corporate information

  • Changes to corporate structure

  • Generation of legal documents

Note: Sole proprietors that register with Ownr are subject to a one-time fee and are not on a subscription plan.

You will be charged automatically on a recurring annual basis. The Online Minute Book Plan is free for the first year and renews each following year. Learn more about pricing on our Pricing page.

Your subscription will be renewed automatically, and you will be charged on the day of your billing cycle unless you cancel. Manage your billing preferences in your Ownr Dashboard under Account > Settings > Billing.

For more information on the value of your Ownr subscription, read the Value of your Ownr Subscription article.

What is Ownr's cancellation and subscription refund policy?

When cancelling your annual Ownr subscription, all future charges associated with renewals of your subscription will be cancelled. You may cancel your subscription at any time before it renews and your cancellation will become effective at the end of your current annual billing period. There will be no credit or refund offered for the remaining portion of the subscription period.

If you’ve already cancelled, you can check how many days are left in your current billing period under Account > Settings > Subscription on your Ownr Dashboard.

We do not offer refunds for renewal payments after 14 days of the renewal charge.

What happens when I cancel my Ownr subscription after it renews?

You will not receive a refund for the remainder of the annual term after the 14-day grace period. However, your subscription access and benefits will continue for the remainder of the current annual billing period.

If you haven’t taken advantage of completing the Annual Return and accompanying legal resolutions as part of your subscription on Ownr, you can learn more in the Annual Returns article.

Once you’ve cancelled and the billing period has ended, you will lose access to your Ownr Dashboard & all Ownr perks. This means you’ll need to find a new location to store your company’s minute book.

We would also encourage you to figure out other service providers to ensure your corporation stays compliant. You will need to find alternate services to:

  • File annual and ongoing government forms

  • Prepare ongoing corporate resolutions

  • Manage your company’s cap table

  • Provide other forms of legal and administrative support.

How do I cancel or manage my Ownr Subscription?

All subscriptions can be managed in the Dashboard under Settings > Subscription > Edit. Ensure you research and understand the compliance items you need to take care of now that you will not be using Ownr to manage them.

Learn more about managing your subscription in the Manage your Ownr subscription article.

For further considerations when closing your Ownr account, read the Close your Ownr account article.

What happens when I downgrade before my subscription renews?

The changes involved with downgrading your Ownr subscription take place immediately. You will no longer have access to the capabilities of your existing plan for the remainder of the subscription term. On your next billing date, your subscription will renew at the price of the newly selected plan.

If you downgrade, you will not be refunded for any unused time on your previous plan.

By downgrading from the Managed Corporation Plan to the Online Minute Book Plan, you will lose immediate access to Ownr features including the following:

  • Unlimited company updates & government filings

  • Issue or transfer shares, create shareholder agreements, and manage vesting of shares if you are subscribed to the Managed Shareholder Add-On

  • Ongoing Employee and Contractor management if you are subscribed to the Managed Employees Add-On

By downgrading from the Employee-Stock-Option Plan, you will lose immediate access to Ownr features including the following:

  • Secure long-term commitment from your employees by creating an Employee Stock Option Plan

  • Ownr Shares Employee Portal

  • Award options to Employees
