Add, update, or remove directors

How to add, update, or remove directors on your corporation

Follow the instructions below to add, update, or remove directors. This includes updating the name, address, and contact information of the directors.


Before you get started

Read the What is a director article to learn more about the role of a director.

Director changes are a filing that needs to be completed with the government. This is because the government records all changes to your directors.

Director changes are subject to a one-time fee on the Online Minute Book Plan. There is no charge if you are on the Managed Corporation Plan.

Director changes will be filed with the government after all parties sign the relevant documents. Ownr will notify you once your changes are complete.

Once the change is filed with the government you can see your director changes reflected under Organization > Directors. You can also find all corresponding documents detailing the change under Organization > Minute Book.


Add a director

1. On the sidebar, go to Company > Organization > Directors

2. Click + Add Director

3. The Select Director window will appear. Select from the drop down or click + Add New Person to add a new person.

4. Once the information is entered, the director's name will appear in the drop down and on the Select Director window. Click Add to add them as a director.

5. On the Confirm Adding Director window, type or draw your signature on the signature line. Click Submit to submit the change.

Preview the document by clicking the eye icon. Download the document by clicking the download icon.

The required shareholders' resolution is automatically prepared and emailed directly to all shareholders for signing.


Update director name, address, and contact information

1. On the sidebar, go to Company > Organization > Directors

2. Select the drop down for the desired director. Click Edit.

3. Edit the information that needs to be updated. Click Save

4. The Confirm Person Information Change window will appear. Type or draw your signature on the signature line.

Note: Changes to director emails and phone numbers are not filed with the government as they do not record this information. No government documents are generated for these changes.

The required resolutions are automatically prepared and emailed directly to all shareholders and relevant directors for signing.


Remove directors

1. On the sidebar, go to Company > Organization > Directors

2. Select the drop down for the desired director. Then click Remove.

A company must have at least one director. You are not able to remove a director if they are the sole director of the corporation.

3. On the drop down menu, select "being removed" or "resigning". Click Submit.

4. The Delete Director Signature window will appear. Type or draw your signature on the signature line.

The required shareholders' resolution is automatically prepared and emailed directly to all shareholders.
